Macmillan. Macmillan has a most unusual structure. Originally a family company, in 1995 the Verlagsgruppe Georg von Holtzbrinck Gmbh of Germany acquired 70% of the equity to bolster the companys long-term outlook. 30% is still owned by the Macmillan family trust, which currently comprises three people. Background Macmillan, founded in 1843, quickly moved into educational publishing. It now comprises the parent company in the USA and 38 overseas companies. Macmillan Education Ltd. works from the UK, and exports in the EFL, Latin American and Far East sectors, as well as some export into Europe. Recent figures 1996 figures give pre-tax profits of 23million on sales of 294million. 4. McGraw-Hill Book Company Europe This European operation is owned 100% by McGraw-Hill Inc., a public company which is quoted on the NYSE. It is a strong competitor to the major educational publishing companies, and includes educational and professional, financial services, and information/media services. The former is divided into educational publishing, HE and consumer publishing, Intl. Pub. and professional publishing. Recent figures Reported revenues in 1996 were $1,278m ed./prof. In 1996, against $3075m total. In this year operating profit was $545.7m for the ed/prof division alone, an increase from $162.6m in 1995 after the exchange of the legal citation service Shepards/McGraw-Hill for the Times Mirror Educational group. Educational publishing reported sales of $627m in 1996 out of the total above. 5. Oxford University Press The OUP, very unusually for a large publisher, is a department of the University of Oxford, and operated as a charity based on 30% minimum annual donation of profit to the University. History The OUP was founded in 1633 by charter from Charles I, with a freer wording than CUPs charter. This allowed it to diversify out of religious and scholarly works at the end of the 19th century, including into school books. In 1976 the OUP moved fully to Oxford and the educational division split into school/childrens, and ELT: there are also division in academic, childrens, and reference. Now ELT is the largest and most profitable division, turning over more than 50m a year. The closure of the print works in 1989 helped increase profitability of the company, which is now one of Britains largest publishers in terms of sales. It controversially has tax free status, as long as it tries to indulge itself in things its competitors could not do and continues to plough most of its profits back into its own operations or the University. OUPs growth has depended a lot on the ELT boom and the introduction of the National Curriculum. Educational ouput 1231 titles in 1996-7. It has businesses in Malaysia, Australia, Pakistan, East Africa, India, China, Canada, Singapore and South Africa. It both distributes UK/US books into these countries and also publishes on-site specifically designed books aimed at the national curricula. The ELT division includes offices in Japan, Spain, Turkey, Argentina, and Latin America as well as all over Asia. OUP is a market leader in ELT including American English. Recent figures 1996 figures gave a pre-tax profit of 19.4million (20.9%) on sales of 251.4million. Sales by group in this year were: ELT 78m, Educational 69m, Academic 104m. Also in 1996, worldwide sales by destination were: UK 45m, Rest of Europe 54m, Asia 50m, Americas 81m, Rest of the world 21m. 6. Cambridge University Press The Cambridge University Press is similar to Oxford, but has a narrower brief. History The CUP was founded slightly earlier than the OUP. It encountered serious financial difficulties in the early 1970s, when rapidly rising inflation savaged the income from backlist sales. There was a management reorganisation, followed by a series of strategic moves, and the press has been financially secure ever since, to the point where it has now been able to offer support to the University of Cambridge, for related purposes such as libraries. CUP also has a particularly good record in avoiding redundancies, despite the huge upheavals in both the printing and publishing industries in the last 20 years. It has a strong focus on education, including the School Mathematics Project, a range of National Curriculum courses, and the Cambridge Reading childrens reading scheme. n English language teaching Course books, tapes and videos, lexical reference, and professional publishing. The press has a unitary structure which means that its overseas branches, in New York, Melbourne and Madrid, and its many offices are tightly controlled from the centre. Any book published by one of its offices is effectively published by all of them. Financial performance In publishing its 1995 accounts, albeit in summary form, Cambridge University Press has revealed its financial position to the public for the first time. Turnover from publishing and printing was 99million, yielding an operating surplus of 7.3m. The Press published 1,841 titles during the year, of which 475 originated from the US and Australia. Some 75% of the publishing revenue is generated from overseas business. CUPs educational publishing enjoyed a record year in 2001 (reference the company report), as worldwide ed/pub sales neared 16million, an increase of 20% on the previous year. With a publishing strategy focused largely on the core areas of Science, Maths and English, and carefully taking account of UK governmental policy change and the National Curriculum, CUP managed to increase its market share in primary and secondary sales by 45% and 14% respectively, outstripping the overall market growth. Wolters Kluwer Wolters Kluwer has its head office in Amsterdam, Netherlands, with sub-offices in more than 25 countries worldwide. History Dutch family business Kluwer was established in 1889, and in 1987 fought off a takeover attempt by Elsevier and merged with another family-founded Dutch group, Wolters Samson, to create Wolters Kluwer nv. Dropping its printing business in 1990 profited the company (see comparison with the Oxford University Press). It gave the general trade book business autonomy in 1992, creating Boekhandels Groep Nederland in which Wolters Kluwer retains a 33.4% interest. This left the legal, business, professional, technical, and scientific/medical publishing businesses to become the core activity clusters, together with educational publishing, which has now expanded into most of Western Europe and North America. Recent figures Wolters Kluwer prides itself on being the market leader in European education, with sales of 306million in 2001, and employing over 1,400 people. In the UK Nelson Thornes is WKs main subsidiary, 8. News International News International (NewsCorp) has a strong interest in educational publishing, as a vertically integrated multimedia publishing company with assets in magazine and newspaper publishing, TV, film, books and toys. While precise business information on this global conglomerate is rather difficult to discover, the backing by NewsCorp and its main subsidiary HarperCollins of the Books for Schools campaign illustrates the degree to which the company has a highly vested interest in children and their use of books. Amongst other more entertainment-based operations, including Granada Media and Tesco plc, News International has been examining how it can increase its influence and involvement in this sphere. 9. WH Smith WH Smith Group plc is the biggest bookseller in the UK market, with 17.2% of sales share, outstripping rivals Waterstones, Borders and Ottakers. As a company with interests across the board in retailing, publishing and news, it is well-placed to use its multimedia influence within the education market. History The company originated from the humble newsvendor beginnings of Henry Walton Smith and his wife Anna in 1792. Henry died shortly after opening the shop, leaving Anna to run the business, which she did in partnership with Zaccheus Coates for twenty years. The business passed to her sons, Henry Edward and William Henry, and it was the latter who proved to have the better business brain, expanding the business together with his son, until in 1860, already the principal newspaper distributor in the UK, the company acquired its own printing works. Further expansion followed, including overseas, and in 1966 WH Smith established the biggest book club in the world, Book Club Associates, jointly with American publishers Doubleday. Moving into DIY retail, stationery, lifestyle retail, cable TV and other multimedia operations, WH Smith in 1989 acquired a controlling interest in Waterstones Booksellers Ltd, but the move proper to publishing did not occur until 1999, when the company bought educational specialists Helicon and Hodder Headline, launching the WH Smith Book Awards the following year. Recent figures Hodder Headline, WH Smiths main educational publishing operation, claims to have 19% of the UK educational market, making it joint second in the sector behind Reed Elseviers Heinemann. Pearson plc Pearson is a public limited company with offices in London, New York and Tokyo. Major shareholders include the Pearson family (5.9%), Lazards (8.7%) and the directors (0.3% combined). History Pearson began as a small building firm in the USA which became a major international contractor before diversifying into oil, banking, newspapers and finally publishing. Acquisition of the Financial Times in 1948 started a round of purchases which peaked as Pearson bought Longman for 17million in 1968, followed by Penguin and Ladybird in 1972, and several educational lists in the 1980s. In 1994 Longman formally merged its educational business with Addison-Wesley within the conglomerate, demerging Pearson Professional at the same time. HarperCollins Educational Publishing joined the stable in 1996 (for 369million), making Pearson one of the worlds top three educational publishers. Recent figures: ELT at Pearson had sales of 92.8million in 1996 in the UK, and 125.6million internationally the same year. The operating profit had risen from 31.8million (1995) to 68.1million (1996), an increase of operating profit margin from 9% to 10% the same year. ELT sales are the largest in the world overall. Policy: CEO Marjorie Scardinos objective has been to move away from the traditionally independent operation of her subsidiary companies. Although it gave each division the freedom to pursue opportunities and ride out market weaknesses in its sector, the unified approach has strengthened the company overall. 2. Reed Elsevier Reed Elsevier is fully and jointly owned by the shareholders of Reed International plc and Elsevier NV, with separate stock exchange listings in Amsterdam, New York, and London. Major shareholders of Reed International and therefore of Reed Elsevier include Prudential (7.4%) and Paul Hamlyn (3.7%). History Reed International (established 1960s) bought Heinemann (founded 1913) in 1993, and then merged with Elsevier NV (established 1580) to create a huge publishing conglomerate with the ability to operate outside the English-speaking market, as well as traditional strength in the UK and USA. Reorganised into four main divisions, Reed Educational and Professional Publishing is the smallest of the four in terms of administrative size, but the second largest profit segment. However, it is difficult to separate data involving the professional publishing from the educational. Lists and acquisitions which have contributed to this strength include Heinemanns USA, Educational Books and ELT operations, as well as Ginn, Rigby Inc. and Rigby Australia. In July 2001 Reed Elsevier consolidated its US educational strength by acquiring Harcourt in partnership with Thomson, a move which necessitated some antitrust activity first. Namely, Reed sold off the Harcourt professional and higher education businesses in favour of retaining the testing (eg SATs tests) and school publishing divisions.
